1 Call to Order and Announce a Quorum is Present
With a quorum of the Board of Directors present, the Regular Meeting of The Arts Center of North Texas was
called to order by President Haggett at 4:04 p.m. on Thursday, October 17, 2013, in the Council Conference
Room at Allen City Hall, 305 Century Parkway, Allen, Texas.
1. Election of Officers
President Haggett addressed his resignation announced at the last regular meeting of the Board held in
February He has rescinded his resignation in order to provide stability while the Board goes through
the dissolution process.
President Haggett called for nominations from the Board for the purpose of electing officers.
The following slate of officers were presented:
President - Bobby Haggett
Vice President - Betty Muns
Secretary - Charles Nies
With no other nominations offered, President Haggett closed the call for nominations.
MOTION: Upon a motion made by Director Shaddock and a second by Director Litinas, the Board of
Directors voted five (5) for and none (0) opposed, to elect Bobby Baggett as President, Betty
Muns as Vice President, and Charles Nies as Secretary. The motion carried.

MOTION: Upon a motion made by Director Shaddock and a second by Secretary Nies, the Board of
Directors voted five (5) for and none (0) opposed, to approve and adopt the items on the
consent agenda as follows:
2. Approve Minutes of the February 22, 2013 Regular Meeting.
3. Receive Financial Report for the Period Ended February 28, 2013 through August 31, 2013.
The motion carried.
Public Comment
4. Public Comment.
Jack Lagos, 3120 Oxfor Court, Plano, Texas, spoke regarding the donations made to the Arts Center
of North Texas.
David Arbuckle, Vice President External Affairs, AT&T, 208 S. Akard, Dallas, Texas, spoke
regarding the status of the AT&T Foundation donation.
The Regular Session was recessed at 4:14 p.m
Executive Session
In accordance with the Texas Government Code, The Arts Center of North Texas convened into Executive
Session at 4:15 p.m. on Thursday, October 17, 2013, in the Council Conference Room at Allen City Hall, 305
Century Parkway, Allen, Texas, in order to discuss matters pertaining to:
• Pursuant to Section 551.071 of the Texas Government Code
- Discussion of Litigation and Non -Litigation Options Regarding Dissolution.
• Pursuant to Section 551.071 and 551.073 of the Texas Government Code
- Discussion of Donor Requests for Return of Donated Funds.
The Executive Session adjourned at 5:05 p.m.
Reconvene and Consider Action on Items Discussed during Executive Session.
The Board of Directors reconvened into Regular Session at 5:05 p m. on Thursday, October 17, 2013,
in the Council Conference Room at Allen City Hall, 305 Century Parkway, Allen, Texas. The
following action was taken on items discussed during Executive Session for agenda items 6, 9, and
10.
6. Authorize the Return of a Gift of $100,000 to Mr. Ken Sellers in accordance with the terms of
his restricted donation agreement.

9. Discussion of and Possible Action on Litigation and Non -Litigation Options Regarding
Dissolution.
10. Discussion of Donor Requests for Return of Donated Funds.
MOTION: Upon a motion made by Director Shaddock and a second by Vice President Mons, the Board
of Directors voted five (5) for and none (0) opposed, to authorize the President to engage
counsel to file an action in the appropriate court to seek a declaratory judgment to take over
the dissolution and liquidation process; included in that action a request to return Mr. Seller's
liability as soon as possible; and to seek a reimbursement from the three owner cities to fund
the corporation's expenses since the last two years. The motion carried.
7. Discussion Regarding Future Objectives and Budget matters for FY13 and FY14.
No action was taken at this time.
8. Authorize the Deactivation of All Social Media Sites Related to The Art Center of North Texas
and Terminate Any Agreements Related to Such.
MOTION: Upon a motion made by Vice President Mans and a second by Secretary Nies, the Board of
Directors voted (5) for and none (0) opposed, to authorize the deactivation of all social media
sites related to The Art Center of North Texas.
Adjournment
MOTION: Upon a motion made by Secretary Nies and a second by Vice President Muns, the Board of
Directors voted five (5) for and none (0) opposed, to adjourn the Meeting of The Arts Center
of North Texas at 5:14 p.m. on Thursday, October 17, 2013. The motion carried.
These minutes approved on this 11th day of March, 2014.
