With a quorum of the Board of Directors present, the Called Meeting of The Arts Center of North Texas was
called to order by President Baggett at 1.30 p.m, on Tuesday, March 11, 2014, in the Council Conference
Room at Allen City Hall, 305 Century Parkway, Allen, Texas.
Introduction of New Board Members Representing the City of Frisco: Ron Patterson and
Henry Hill.
Consent Agenda
MOTION: Upon a motion made by Director Shaddock and a second by Secretary Nies, the Board of
Directors voted seven (7) for and none (0) opposed, to approve and adopt the items on the
consent agenda as follows:
2. Approve Minutes of the October l7, 2013 Regular Meeting.
3. Receive Financial Reports for the Periods Ended September 30, 2013, October 31, 2013,
November 30, 2013, December 31, 2013, and January 31, 2014.
The motion carried.

called to order by President Baggett at 1.30 p.m, on Tuesday, March 11, 2014, in the Council Conference
Room at Allen City Hall, 305 Century Parkway, Allen, Texas.
Introduction of New Board Members Representing the City of Frisco: Ron Patterson and

MOTION: Upon a motion made by Director Shaddock and a second by Secretary Nies, the Board of
Directors voted seven (7) for and none (0) opposed, to approve and adopt the items on the

EThe Regular Session was recessed at 1.35 p.m.
Executive Session
In accordance with the Texas Government Code, The Arts Center of North Texas convened into Executive
Session at 1.36 p.m. on Tuesday, March 11, 2014, in the Council Conference Room at Allen City Hall, 305
Century Parkway, Allen, Texas, in order to discuss matters pertaining to:
Pursuant to Section 551.071 of the Texas Government Code
- Discussion of Litigation Regarding Cause No. 199-00002-2014, The Arts Center of North
Texas, in the 199' Judicial District Court of Collin County, Texas.
Pursuant to Section 551.071 and 551.073 of the Texas Government Code
- Discussion of Donor Requests for Return of Donated Funds.
The Executive Session adjourned at 3:05 p.m.
5. Reconvene and Consider Action on Items Discussed during Executive Session.
The Board of Directors reconvened into Regular Session at 3:05 p.m. on Tuesday, March 11, 2014, in
the Council Conference Room at Allen City Hall, 305 Century Parkway, Allen, Texas. The following
action was taken.
MOTION: Upon a motion made by Director Shaddock and a second by Vice President Mans, the Board
of Directors voted seven (7) for and none (0) opposed, to table Agenda Items 6 and 7 to the
next meeting of The Arts Center of North Texas Board of Directors. The motion carried.
6. Consider and act upon instructing counsel for the ACNT in connection with the case pending in
the 199" Judicial District Court of Collin County, Texas (Cause No. 199-00002-2014).
7. Consider and act upon returning certain restricted donations.
Adjournment
MOTION: Upon a motion made by Director Shaddock and a second by Vice President Muns, the Board
of Directors voted seven (7) for and none (0) opposed, to adjourn the Called Meeting of The
Arts Center of North Texas at 3:06 p.m. on Tuesday, March 11, 2014. The motion carried.
