ORDINANCE NO. 346
AN ORDINANCE OF THE CITY OF ALLEN, COLLIN COUNTY, TEXAS,
AUTHORIZING THE ENTRY INTO AND EXECUTION OF A CONTRACT BETWEEN
THE CITY OF ALLEN, TEXAS, AND EXXON CORPORATION, A NEW JERSEY
CORPORATION, RELATIVE TO THE CONSTRUCTION OF A WATER LINE IN,
ABOUT AND TO CERTAIN PROPERTY OWNED BY EXXON CORPORATION
LYING WITHIN THE BOUNDARY LIMITS OF THE CITY; PROVIDING FOR A
CREDIT TO EXXON CORPORATION FOR FUTURE ASSESSMENTS LEVIED BY
THE CITY AGAINST THE PARTICULAR PIECE OF PROPERTY DESCRIBED
HEREIN AND OWNED BY EXXON CORPORATION; AND PROVIDING FOR THE
EFFECTIVE DATE OF SAID ORDINANCE.
WHEREAS, the City Council of the City of Allen has read and examined a proposed
contract (a copy of which is attached hereto as Exhibit "A" and made a part hereof for all
purposes) to be entered into between the City and Exxon Corporation, a New Jersey
Corporation, relative to the construction of a water line in, about and to certain property
owned by Exxon Corporation lying within the boundary limits of the City of Allen; and,
WHEREAS, the City Council believes it to be in the best interest of its citizens and
residents that such contract be consummated in the form attached hereto as Exhibit "A" and
further believes that the entry into said contract will promote and protect the health, safety
and public welfare of the City's citizens and residents;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ALLEN, TEXAS:-
SECTION
EXAS:SECTION 1. That the Mayor and/or City Manager is hereby authorized to enter into
and execute, on behalf of the City, that certain proposed contract, attached hereto as Exhibit
"A" and made a part hereof for all purposes, between the City of Allen, Collin County, Texas,
and Exxon Corporation, a New Jersey corporation, relative to the construction by Exxon
Corporation of a water line servicing property owned by said corporation within the boundary
limits of Allen, Texas, and to do any and all other acts, of every nature and kind, required of
the City to be performed on its behalf in meeting the requirements and obligations of and
under said agreement.
SECTION 2. This Ordinance shall take effect from and after its passage.

STATE OF TEXAS X AGREEMENT FOR

COUNTY OF COLLIN X CONSTRUCTION OF
X
CITY OF ALLEN X WATER LINE
This Agreement is made and entered into by and between
the CITY OF ALLEN, Collin County, Texas, a municipal cor-
poration, ("City") and EXXON CORPORATION, a New Jersey
corporation and successor by merger to Exxon Enterprises
Inc., having its principal office in New York, New York,
("Exxon").
WHEREAS, the City is currently in the process of ex-
tending its municipal water system with such extension to be
financed in part by the sale of municipal bonds, the issu-
ance of which has been heretofore approved by vote of the
residents of the City, and in part by assessments to be
levied against property and owners of property benefited by
such extension; and
WHEREAS, Exxon owns certain real property in Collin
County, Texas, situated in the City that is not now provided
with water service by the City; and
WHEREAS, it would be financially disadvantageous to the
City to immediately sell its municipal bonds for the purpose
of financing the extension to the water utility system; and
WHEREAS, Exxon desires to expedite its access to water
service from the City; and
WHEREAS, it would be advantageous to both Exxon and the
City for Exxon forthwith to construct a portion of the
extension of the water utility system in order to provide
Exxon with expedited access to water service by the City;
NOW, THEREFORE, for and in consideration of the prem-
ises, and the mutual and reciprocal covenants and agreements
herein contained, by and between the parties hereto, the
City and Exxon agree as follows:
1. As used herein these terms are defined as follows:
a. Exxon's Property means certain real property
in Collin County, Texas, owned by Exxon which is

described in Exhibit "A", which is attached hereto
and incorporated herein.
b. "City's Engineer" means Ronald E. Fix and
Associates, Consulting Engineers for the City of
Allen, until the City notifies Exxon in writing
that it has a different engineer.
C. "Plans" means those certain plans and speci-
fications prepared by Ronald E. Fix and Asso-
ciates, Consulting Engineers for the City of
Allen, dated March, 1981, and approved by the City
on March 19, 1981.
d. "Exxon's Contractor" means Gilbane-Tellepsen
Joint Venture, a joint venture comprised of and
performing through Gilbane Building Company, a
Rhode Island corporation, and Tellepsen Construc-
tion Company, a Texas corporation, each of which
shall be jointly and severally responsible for all
obligations of the joint venture, and which joint
venture has an office at P. O. Box 2536, Houston,
TX 77001.
e. "Subcontractor" means Regional Utilities
Company.
f. "Water utility system" means the water
utility system through which the City provides
water service to its residents and which is owned,
operated and maintained by the City.
g. "Extension" means that extension of the water
utility system described in the Plans.
h. "Project" means that portion of the Extension
identified as segments B -2A, B -2C and B -2D in
Exhibit "B" attached hereto.
2. The City hereby agrees that Exxon will and is
authorized to undertake construction of the Project at
Exxon's sole expense, with such construction to be
performed by the Subcontractor under the supervision of
Exxon's Contractor:

3. The City hereby approves the Subcontractor and
agrees that Exxon or Exxon's Contractor shall enter
into a contract with the Subcontractor in performance
of Exxon's obligations under this Agreement.
4. Exxon agrees, promises and convenants to undertake
and complete construction of the Project, with such
construction to be accomplished through the services of
the Subcontractor as set forth in the Subcontract under
the supervision of Exxon's Contractor, and with such
construction to conform to the Plans. Such construc-
tion shall be accomplished at Exxon's sole expense;
provided however, any other provision of this Agreement
to the contrary notwithstanding, Exxon shall not be
obligated to incur or pay expenses in excess of
$146,309.25 in performance of its obligations under
this Agreement.
5. Upon completion of construction of the Project,
and upon approval and acceptance of the Project, as
constructed, by the City, which approval and acceptance
will not be unreasonably withheld, and which approval
and acceptance will be evidenced by written notice
thereof from the City to Exxon, the Project shall
become the property of the City, and Exxon's obli-
gations under this Agreement shall be deemed to have
been fully performed. As a condition to approval and
acceptance of the Project by the City, the City shall
be furnished a maintenance bond in an amount equal to
not more than fifteen percent (15%) of the construction
cost of the Project, having a duration of one (1) year,
and having a principal and surety approved by the City,
which approval shall not be unreasonably withheld.
6. From and after acceptance by the City of the
completed Project the City shall assume responsibility
for repair and maintenance, and Exxon shall have no
responsibility therefor, and the City shall indemnify
and save harmless Exxon from all claims, demands,

damages and costs for or arising out of the construc-
tion, repair, maintenance or condition of the Project,
except such claims as may arise within one (1) year for
damages proximately caused by the negligence of Exxon,
its agents and employees, in the construction of the
Project.
7. In consideration for the performance of Exxon's
obligations under this Agreement, the City hereby
agrees, promises and convenants that Exxon shall be
entitled to a credit equal to the amount of the expense
actually incurred by Exxon in performance of this
Agreement, with such credit to be applied to any as-
sessments now or hereafter levied by the City against
Exxon's Property arising out of or in any way relating
to the construction of the Extension or other improve-
ments to the water utility system on, about, or adja-
cent to Exxon's Property, the providing of water ser-
vice to Exxon's Property or any benefit accruing to
Exxon's Property because of the providing of water
service to Exxon's Property by the City. In the event
the amqunt of the expense incurred by Exxon in perform-
ance of this Agreement exceeds the amount of the
assessment described herein, the City will reimburse
the amount of such excess to Exxon; provided, however,
such reimbursement shall be paid solely out of assess-
ments for the construction of water utilities collected
by the City from other property owners whose property
is adjacent to the Project.
8. The City shall have the right to inspect and
observe the construction of the Project; provided
however, such inspection and observation by the City
will not unreasonably interfere with or delay construc-
tion of the Project. Exxon will provide the City with
copies of all change orders, engineers' certificates of
work done, receipts from the contractor for payments
made, sufficient evidence that all required bonds have

been posted, that all required payments have been
withheld, and that the Project is free of all liens,
and such other information and documentation relating
to construction of the Project as the City may reason-
ably require.
9. In the event the City at any time makes any deter-
mination that construction of the Project does not
conform to the Plans or is otherwise unacceptable to
the City for any reason, the City shall promptly give
written notice of such determination to Exxon, which
notice shall set forth the basis for such determination
and any corrective action required by the City. Any
change order or design change relating to the Project
shall be jointly approved by Exxon and the City. If
the cost of the Project is increased by any change
order, such increase in cost shall be borne by Exxon,
and regarded as a part of the expense incurred by Exxon
in performance of this Agreement.
10. The City represents and warrants to Exxon the fol-
lowing:
a. The City is a duly created and existing home
rule city, municipal corporation and political
subdivision within the County of Collin, State of
Texas, having all authority, powers and privileges
granted to such entities by Title 28, Texas Revised
Civil Statutes.
b. The City has full right and authority to
construct, own and operate its water utility
system.
C. Necessary approvals for construction of the
Extension, including the Project, have been ob-
tained from all appropriate agencies of the fed-
eral government and State of Texas to which the
City may be subject, including, but not limited
to, the Environmental Protection Agency and Texas
Water Quality Board.

d. The execution of this Agreement has been
specifically authorized, ratified and approved by
passage of a city ordinance and otherwise in
accordance with law by the City Council of the
City; to this end, the City shall instruct its
attorney to so advise Exxon in writing.
11. Exxon represents and warrants to the City the
following:
a. Exxon is a corporation duly incorporated
under the laws of the State of New Jersey and is
in good standing under its Certificate of Incor-
poration or Charter and the laws of the State of
New Jersey;
b. Exxon is duly authorized to do business in
and in good standing in the State of Texas;
C. Exxon has the power to enter into this
Agreement;
d. Proper corporate action has been taken to
authorize the execution and delivery of this
Agreement in behalf of Exxon.
12. Any notice, request or correspondence provided for
herein shall be deemed to have been given if and when
it is deposited in the United States mails, properly
stamped, certified mail, return receipt requested, and
addressed to the party for whom intended at the party's
address set forth as follows: City of Allen, P. 0. Box
487, Allen, Texas 75002, Attention: City Manager;
Exxon Enterprises, a Division of Exxon Corporation,
1251 Avenue of the Americas, New York, New York 10020,
Attention: Mr. D. !b. mac -Laren, with a copy to Mr.
Robert L. Burda, Administrative Services Department,
Exxon Corporation, P. 0. Box 1415, Houston, Texas
77001.
13. Exxon's obligations herein are conditioned upon
the City providing to Exxon a written instrument from
the City approving, acknowledging and consenting to the

execution of, this Agreement between the City and
Exxon.
14. This Agreement and the rights and obligations
thereunder shall inure to the benefit of and be binding
upon the parties hereto and their respective successors
and assigns.
15. Should any part, term or provision of this Agree-
ment be held by final judgment of a court of competent
jurisdiction to be unenforceable because of conflict
with any law or the State of Texas or the United States,
the validity of the remaining portions or provisions
shall not be affected thereby. The remainder of this
Agreement shall nonetheless be enforceable unless
(a) the rights of either party hereunder shall have
been materially and adversely affected by such judg-
ment, and (b) the party so affected does not elect
nevertheless to enforce the Agreement.
16. All prior agreements and representations of the
parties hereto pertaining to the subject matter hereof
are superseded by this Agreement which contains the
entire agreement bf the parties, and no representa-
tions, inducements, promises or agreements, oral or
otherwise, not recited herein shall be of any force
and effect.
