and City Staff.

City Secretary Judy Morrison issued oaths of office to the following Board members

Mayor Farmer presented Certificates of Appointment to all the members of the Board
of Directors and congratulated them on their appointment.

With a quorum of the Board of Directors present, the workshop session of the Allen
Economic Development Corporation was called to order by Mike Nichols at 6:35 p.m. on
Thursday, March 26, 1992, in the Library Meeting Room, Allen Public Library, Two Civic
Plaza, Allen, Texas.

With a quorum of the councihaembers present, the workshop session of the Allen City
Council was called to order by Mayor Farmer at 6.36 p.m. on Thursday, March 26, 1992,
in the Library Meeting Room, Allen Public Library, Two Civic Plaza, Allen, Texas.
Workshop to Discuss the Roles and
Responsibilities of the Board of Directors
and City Council Regarding Eeonandc 1}eyeLapment (Agenda Item FV)
The Board of Directors is a very select group in the City of Allen and that Board is
here because the people of Allen supported the passage of the 1121 sales tax in a recent
election. It is the desire of everyone to continue moving in the same direction, having the
same purpose.
David Pitstick, Economic Development Coordinator, reviewed the background and
history of the development of the Board of Directors as a result of a vision that the
community had after the formation of the Economic Development Department.
Jon McCarty, City Manager, reviewed the calendar of events included in information
for tonight's meeting. The calendar indicates where we are in the process and is to be used
only as a flexible calendar and can be changed if necessary.
The City Council and Board of Directors began the review of the organization of the
Economic Development efforts, conclusions, and understandings. This document is meant
to be only a reference for the Board of Directors in their development of the bylaws for the
Allen Economic Development Corporation.

Discussion was held regarding the places on the Board and terms. No one's first
term will be a full term. Therefore, each member will have the opportunity to serve two full
terms in addition to their partial first term if the Board choosss to include this item in the
bylaws.
Discussion was held regarding the continuing financial obligation of the alliance
members. The Chamber of Commerce has ratified the present funding formula. This year's
budget will fulfill the budget for the Economic Development office through its fiscal year.
Financial resources may not be used for retail development projects except in very
particular cases according to statutory law.
The Alliance Liaison Committee will continue to function to remain unified and to
provide financial commitments in an appropriate manner.
Discussion was held regarding the reporting mechanism of the Economic Development
Coordinator. The role of the Board was also discussed in conjunction with authorization
of expenditures and finances.
Discussion was also held regarding the Board being under the Open Meetings Act.
This item will be reviewed by counsel and state law and the City Charter will need to be
consulted. The City will underwrite the costs of legal counsel at this time to be repaid at
a future date by the Board.
El Staff was requested to provide information regarding the Open Meetings Act, and
to see the differences in bylaws available by the Economic Development Coordinator with
regard to bylaws.
A meeting has been called for 7:00 p.m., April 9, Library Conference Room, by the
Board of Directors. Items to be put on the Agenda may include election of officers,
appointment of legal counsel, framework of the corporation, and items of interest. Staff
was requested to make a list of projects pending in the City of Allen. Staff support will
provide minutes of the meeting.

David Pitstick, Economic Development Coordinator, reviewed briefly an agreement
that is coming before the Council and School Board between the taxing entities and Bethany
Central Limited Liability Partnership.
