O-3935-8-22 ORDINANCE NO.3935-8-22 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF ALLEN, COLLIN COUNTY, TEXAS, ABANDONING ALL RIGHT, TITLE AND INTEREST IN BOYD PLACE AND CERTAIN ALLEY RIGHT-OF-WAY WITHIN THE 500 BLOCK OF WEST BOYD DRIVE BEING MORE PARTICULARLY DESCRIBED IN SECTION 1, HEREOF; PROVIDING FOR THE FURNISHING OF A CERTIFIED COPY OF THIS ORDINANCE FOR RECORDING IN THE REAL PROPERTY RECORDS OF COLLIN COUNTY, TEXAS, AS A QUITCLAIM DEED; PROVIDING FOR THE INDEMNIFICATION OF THE CITY OF ALLEN, TEXAS, AGAINST DAMAGES ARISING OUT OF THE ABANDONMENT; AUTHORIZING THE CITY MANAGER TO EXECUTE ANY DOCUMENTS NECESSARY TO COMPLETE ABANDONMENT; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS,the City Council of the City of Allen,Texas,acting pursuant to State law and upon request of the abutting property owners,hereinafter referred to as Grantees, deems it advisable to abandon and quitclaim the hereinafter described rights-of-way to Grantees, and is of the opinion and finds that said rights-of-way are not needed for public use and should be abandoned and quitclaimed to Grantees, subject to the reservations and conditions of this Ordinance. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ALLEN, COLLIN COUNTY,TEXAS,THAT: SECTION 1. Subject to the conditions set forth herein the City of Allen, Texas, hereby abandons and quitclaims in favor of the abutting property owners, MCTT, LLC (the "Grantee"), the following public alley rights-of-way: A. That certain north south public alley right-of-way lying between Block 4 and Block 5 as shown on and originally dedicated by the Final Plat of the J.M. Whisenant Addition of the Town of Allen, Texas, according to the plat thereof recorded in Volume 1, Page 52, Plat Records, Collin County, Texas (commonly known as"Boyd Place"); B. That certain north/south public alley right-of-way lying between Block 12 and Block 13 as shown on and originally dedicated by the Final Plat of the J.M.Whisenant Addition of the Town of Allen,Texas, according to the plat thereof recorded in Volume 1, Page 52, Plat Records, Collin County, Texas; and Co That certain north south public alley right-of-way lying between Block 10 and Block I I as shown on and originally dedicated by the Final Plat of the J.M. Whisenant Addition of the Town of Allen,Texas, according to the plat thereof recorded in Volume 1, Page 52, Plat Records, Collin County, Texas (the eastern boundary of said Block 10 now being the eastern boundary of the Jas. Garland Addition, an addition to the Town of Allen, Collin County,Texas,according to the plat thereof recorded in Volume 1,Page 122,Plat Records, Collin County, Texas); the location of said public alley right-of-way being further depicted in Exhibit"A"attached hereto and made a part hereof for all purposes(collectively,the"Abandoned Alleys"). SECTION 2. The Abandoned Alleys are abandoned, vacated, and closed insofar as to the right, title, and interest of the public to such surfaces are concerned; provided, however, the City of Allen, Texas, does not abandon any other interest other than the Abandoned Alleys as described in Section 1,hereof,but does hereby abandon all of its right,title and interest in and to the right-of-way of the Abandoned Alleys,either in fee simple or by easement or otherwise, together with any and all improvements thereon, subject to all existing easement rights of others, if any,whether apparent or non-apparent, aerial, surface,underground or otherwise. SECTION 3. Upon the satisfaction of the conditions precedent set forth in Section 4, hereof, the City Secretary is authorized and directed to prepare a certified copy of this ordinance, furnish the same to abutting property owners, and to record such certified copy or duplicate original of this ordinance in the real property records of Collin County,Texas,which shall serve as the quitclaim by the City of Allen,Texas,of all the right, title or interest of the City of Allen,Texas,in the Abandoned Alleys, subject to the limitations and reservations of this ordinance. SECTION 4. The abandonment of the Abandoned Alleys is subject to and conditioned on the following: A. The approval by the City of Allen Planning and Zoning Commission of a replat of the real property abutting the Abandoned Alleys that incorporates the Abandoned Alleys into the lot(s)platted thereby; B. MCTT, LLC, Wolverine Interests, LLC, and the City of Allen having entered into that certain Settlement and Release Agreement approved as to form by the city attorney(the"Release Agreement") relating to the release and settlement of claims as more fully described therein including claims related to identification of ordinances and regulations applicable to the MCTT and/or Wolverine Project for development of approximately I I acres of land owned by MCTT,located in the Allen Central Business District, and more particularly depicted in Exhibit "B," attached hereto and incorporated herein by reference(the"Property"); and Co The approval of a replat of the Property by the City of Allen Planning and Zoning Commission that includes(i)the dedication of a thirty(30)foot wide fire lane across the entire northern boundary of the Property, (ii) the dedication of a thirty (30) foot wide landscape buffer and maintenance easement parallel and adjacent to the above-described fire lane; and (iii) after taking into consideration all required setbacks, easements, and other development regulations set forth in the Allen Land Development Code, sufficient land area to allow for the development of the Property with a maximum density of 32 multi-family units per acre. SECTION 5.As a condition of this abandonment and as a part of the consideration for the quitclaim to Grantee of the City's rights and interest in the Abandoned Alleys, Grantee shall be required to agree in writing to indemnify,defend,release and hold the City of Allen,Texas,whole and harmless against any and all claims for damages, costs or expenses to persons or property that may arise out of, or be occasioned by or from, the abandonment, closing, vacation, and quitclaim by the City of Allen, Texas, of the Abandoned Alleys, and to agree to defend any and all suits, claims, or causes of action brought against the City on account of the same, and to discharge any judgment or judgments that may be rendered against the City of Allen, Texas, in connection therewith. As a further condition of the abandonment street and alley right-of-way herein, the Grantee must agree in writing to replat the Property to incorporate the underlying fee of the Abandoned Alleys into one or more platted lots. SECTION 6. The City Manager is authorized to execute any documents necessary to complete the abandonment contemplated herein. SECTION 7. This ordinance shall take effect upon (i) its adoption in accordance with the provisions of the Charter of the City of Allen, and(ii)upon satisfaction of all of the conditions set forth in Sections 4 and 5 and it is accordingly so ordained.
