ASSIGNMENT OF CABLE TELEVISION FRANCHISE
WHEREAS, on August 3, 1978, the City of Allen, Texas,
an incorporated municipality organized under the laws of the
state of Texas, enacted Ordinance No. 247 granting to
Cablevision of Allen, a subsidiary of Media Systems, Inc., a
franchise to furnish and supply cable television to the
general public in the City of Allen, Texas; and,
WHEREAS, Cablevision of Allen, is desirous of assigning
unto Media S stems"
y ,Inc., said franchise; and,
WHEREAS, the City Council of Allen, Texas, deems it to
be in the best interests of its citizens to approve said
assignment;
NOW, THEREFORE, in consideration of the sum of Ten
Dollars ($10.00) and other good and valuable consideration,
the receipt of which is hereby acknowledged, Cablevision of
Allen, a subsidiary of Media Systems, Inc., hereby irrevocably
assigns, transfers, and conveys unto Media Systems,Inc=�.,
that certain cable television franchise granted by virtue of
Ordinance No. 247 of the City of Allen, Texas, together with
all rights, privileges and licenses incident thereto.
In further consideration of the assignment contained
herein, Media Systems,-inc:, hereby agrees to assume all
liabilities in anyway associated with said franchise, and
further agrees to accept all terms and perform all conditions
therein contained.
Cablevision of Allen hereby warrants that it is not in
default of any term or condition under said franchise.

In accordance with the terms of Ordinance No. 247 of the
City of Allen, Texas, which ordinance prohibits the assignment
of said cabletelevision franchise without'.the prior approval
of the City, the City, by its execution hereof, hereby
approves this assignment.
