A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ALLEN, COLLIN
COUNTY, TEXAS, APPROVING THE TERMS AND CONDITIONS OF AN
INTERLOCAL AGREEMENT BY AND BETWEEN THE CITY OF ALLEN, TEXAS
AND THE CITY OF DESOTO, TEXAS PROVIDING FOR A COOPERATIVE
PURCHASING PROGRAM FOR GOODS AND SERVICES; AND PROVIDING
FOR AN EFFECTIVE DATE.
WHEREAS, the City Council has been presented a proposed interlocal agreement by and between
the City of Allen and the City of Desoto establishing a Cooperating Purchasing Program, a copy of
which is attached hereto as Exhibit "A" and incorporated herein by reference (hereinafter called
"Agreement"); and
WHEREAS, upon full review and consideration of the Agreement and all matters attendant and
related thereto, the City Council is of the opinion that the terms and conditions thereof should be
approved;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ALLEN, TEXAS;
SECTION 1: The terms and conditions of the Agreement having been reviewed by the City Council
of the City of Allen and found to be acceptable and in the best interests of the City of Allen and its
citizens, are hereby in all things approved.
SECTION 2: This Resolution shall become effective immediately upon its passage.
DULY PASSED AND APPROVED BY THE CITY COUNCIL OF THE CITY OF ALLEN,
COLLIN COUNTY, TEXAS, ON THIS THE 15TH DAY OF AUGUST, 1996.

INTERLOCAL AGREEMENT
WHEREAS, the City of Allen and the City of Desoto want to enter into an agreement to permit
the City of Desoto to utilize the City of Allen's computer vendor, for purchases of police
computer equipment and software; and
WHEREAS, Article 791.025, Vernon's Annotated Civil Statutes, provides authorization for
political subdivisions to enter into contracts with local governments.
Now, THEREFORE, THIS MEMORANDUM OF AGREEMENT is hereby made and
entered into by the City of Allen and the City of Desoto upon and for the mutual consideration
stated herein:
WITNESETH:
I.
City of Desoto to purchase police computer equipment and software from the City of Allen's
Request for Proposal No. 950825.
City of Desoto will process all orders and payments direct with various vendors.

City of Desoto agrees to indemnify and save harmless the City of Allen from any liability of
damages City of Desoto may suffer as a result of claims, demands, costs, or judgements against
the work and services under this Agreement, or arising from accident, injury, or damage, whatsoever,
to any person, or persons, or to the property of any person(s) occuring during the performance of this
Agreement, except for any liability or damages caused by the negligence of the City of Allen, its
agents, officers, and/or employees.

The Mayor is authorized to enter into this Interlocal Agreement for the City of Allen. It is agreed by
the City of Allen and the City of Desoto that no purchases will commence hereunder until this
Interlocal Agreement has been fully executed by the parties hereto.
V.
This Interlocal Agreement may not be assigned and embodies the entire agreement between the
parties, and may not be amended except in writing.
